Terms and conditions for registered trade partners.
Eleventh Hour operates a curated online platform through which registered dealers may list pre-owned luxury watches for sale to the public. Eleventh Hour provides the buyer-facing marketplace, secure payment handling, and listing review, in exchange for a commission on each completed sale. This Agreement sets out the terms of that relationship.
Before any listing may be submitted, the Dealer must provide, and keep current for the duration of this Agreement:
A valid CIPC company registration number, or equivalent proof of registered sole proprietor or business status in South Africa
A SARS tax reference number, and VAT registration number if VAT-registered
Proof of business address
Identity verification of the authorized signatory named above
South African bank account details in the registered business's name, for payout
Eleventh Hour may decline any application, and may suspend an active account, where this information is missing, inaccurate, or cannot be verified. The Dealer must notify Eleventh Hour promptly of any change to the details above, including a change of ownership, address, or banking details.
No listing submitted by the Dealer is visible to the public until reviewed and approved by Eleventh Hour. This mirrors the standard already applied to every watch sold directly through Eleventh Hour's own public selling process — the same authenticity and condition scrutiny, regardless of the route a watch takes onto the platform.
Every submission must include, accurately and completely:
Correct brand, model, and reference number
An honest, specific description of the watch's condition, including any wear, damage, or defects
Whether box and/or papers are included, and if not, why
Any service history, repairs, or non-original/aftermarket parts — a watch containing replacement parts not original to the reference must be disclosed as such, not presented as fully original
Clear, accurate, unedited photographs of the actual watch being sold
Eleventh Hour may request further photographs or documentation before approving a listing, and may decline to list any watch at its sole discretion, without obligation to give a reason.
The Dealer warrants, for every watch submitted, that it is:
Genuine and correctly attributed to the brand, model, and reference stated
Legally owned by the Dealer, or the Dealer is otherwise fully authorized to sell it
Free of any undisclosed alteration materially affecting its authenticity or value
Eleventh Hour operates a zero-tolerance policy on counterfeit or knowingly misrepresented watches. A single confirmed instance results in immediate suspension of the Dealer's account and removal of all active listings, in addition to any other remedy available to Eleventh Hour or an affected buyer under law. The Dealer indemnifies Eleventh Hour against any claim, loss, or cost arising from a breach of the warranties in this clause. Eleventh Hour reserves the right to have any listed watch independently authenticated, at its own discretion, before or after a sale.
Eleventh Hour charges a flat commission on the final sale price of each watch sold through the Dealer's account. The applicable rate is disclosed to the Dealer directly within the dealer portal and is treated as confidential under Clause 7 — it does not appear on any public page of the Eleventh Hour website.
Payment flow: the buyer pays Eleventh Hour's designated payment processor at checkout. Funds are held until the buyer confirms the watch has been received and matches its listing. Eleventh Hour then releases the Dealer's net proceeds — the sale price less Eleventh Hour's commission — to the Dealer's registered bank account within an agreed number of business days of that confirmation.
If a sale is cancelled, refunded, or a buyer dispute is upheld before funds are released to the Dealer, no commission is owed and no payout occurs for that transaction.
For the duration of this Agreement and for 12 months after its termination, the Dealer will not solicit, encourage, or complete a sale directly with any buyer introduced through the Eleventh Hour platform, for the purpose of avoiding Eleventh Hour's commission. A breach of this clause is treated with the same severity as a breach of Clause 4.
Each party agrees to keep confidential, and not disclose to any third party, the commission rate and other commercial terms of this Agreement, any personal information belonging to buyers or sellers encountered through the platform, and any other non-public business information shared between the parties in the course of this relationship. This obligation continues after the Agreement ends, for as long as the information remains genuinely confidential. It does not restrict disclosure required by law, by a court, or by a regulator.
Eleventh Hour operates an internal dealer performance ranking system ("the Ranking System"), visible only within the dealer portal and never to buyers or the public. The Ranking System measures a Dealer's performance using factors such as sell-through rate, responsiveness to buyer inquiries, quality of post-sale support, verified buyer reviews, and consistency of activity over time. It does not use stock value, inventory size, or total sales revenue as a scoring factor.
By registering for and using the dealer portal, the Dealer agrees that its real business name, ranking position, and the performance data described above will be visible to every other registered dealer within their own portal login, and that every other dealer's equivalent business name, ranking position, and performance data will be equally visible to the Dealer on the same basis.
This is a specific exception to Clause 7 (Confidentiality): the performance and ranking data described in this Clause is excluded from that Clause's protection and may be shown between dealers as set out above. The commission rate disclosed under Clause 5 remains confidential and is not part of the Ranking System and is not shown to other dealers. Eleventh Hour may refine the factors used in the Ranking System from time to time, and will operate it in good faith rather than to unfairly disadvantage any Dealer. Participation in the Ranking System is a condition of using the dealer portal and is not optional.
Once a sale is confirmed, the Dealer is responsible for prompt, secure dispatch of the watch, using tracked and insured shipping, packaged to a standard appropriate for a high-value item. Risk in the watch passes to the buyer on the buyer's confirmed receipt, consistent with the platform's standard order flow.
The Dealer operates its own independent business and is not an employee, partner, joint venturer, or agent of Eleventh Hour. Nothing in this Agreement creates such a relationship, and the Dealer is solely responsible for its own tax, labour, and regulatory obligations.
This Agreement remains in effect until terminated by either party on 30 days' written notice. Eleventh Hour may terminate immediately, without notice, for a breach of Clauses 2, 4, or 6, or for any conduct that puts buyers, sellers, or Eleventh Hour's reputation at risk. On termination, any listing not yet sold is removed from public view; any sale already in progress is completed under the terms of this Agreement.
To the fullest extent permitted by law, Eleventh Hour's liability to the Dealer under this Agreement is limited to the commission actually received on the transaction giving rise to the claim. Nothing in this Agreement excludes liability that cannot lawfully be excluded.
This Agreement is governed by the laws of South Africa, and the parties submit to the jurisdiction of the South African courts.
